Terms of Service
OpenProse, Inc. · Last updated
These Terms cover OpenProse's websites and the hosted OpenProse runner, including its web app, access through the CLI, and APIs (together, the "Service"), currently served from prose.md and openprose.ai and their subdomains, including run.prose.md. They are a Cover Page under the Common Paper Cloud Service Agreement Standard Terms, Version 2.1, which are incorporated by reference. If anything here conflicts with the Standard Terms, this page wins.
By creating an account, buying credits, or using the Service, you agree to these Terms and to our Privacy Policy. If you are using the Service for a company, you are agreeing on its behalf.
The short version
- The hosted runner is a beta. It is provided as-is, it can change or go away, and support is best effort with no uptime or response-time commitment.
- You pay with prepaid credits. Purchased credits are non-refundable except where the law requires otherwise and expire one year after purchase. Free or promotional credits have no cash value.
- Your content stays yours. You own what you upload and what the Service produces for you. We use it to run the Service, and we may use de-identified data to improve the Service, including its models, as the Standard Terms describe.
- The Service sends your content to third-party providers (model, search, browser, hosting, and payment vendors) to do its work. The Privacy Policy lists them.
- The open-source OpenProse language and tools are not covered by these Terms. They stay under their own licenses.
- We may suspend accounts and review content to investigate suspected abuse or violations of these Terms.
- These Terms are for users in the United States.
This summary is for convenience. The full Terms below and the Standard Terms control.
1. Beta Service
The hosted OpenProse runner is a beta. Section 12.7 (Beta Products) of the Standard Terms applies to the whole Service: it is provided "as is" and "as available," Section 6.3 (Representations & Warranties From Provider) does not apply, and we may change, limit, suspend, or discontinue any part of it with or without notice. Support is best effort, with no uptime, response-time, or resolution-time commitment and no service level agreement. Features may be incomplete, break, or produce wrong results; do not rely on the Service where an error would cause serious harm. Beta status does not change the credit rules in Section 3.
2. Accounts and access
You need a GitHub account to sign in. You must be at least 18 years old. Keep your API keys and sign-in credentials confidential; you are responsible for activity under your account. Tell us at support@openprose.ai if you believe your account has been compromised.
Connecting a GitHub repository gives the Service the permissions shown on the GitHub authorization screen. You can revoke them from GitHub at any time.
3. Credits and payment
The Service runs on prepaid credits held in your wallet.
Purchased credits. You buy credits in US dollars through our payment processor. Purchased credits are non-refundable except where required by applicable law and expire one year after purchase if not used.
Promotional credits. We may grant free credits, for example at signup. They have no cash value, and we may limit, change, or withdraw them at any time.
All credits. Credits are not currency or a deposit, cannot be exchanged for money except where the law requires, and cannot be transferred to another account. Some models or features may be available only to accounts with a completed purchase.
Pricing. Each run is charged against your wallet at the prices shown in the Service at the time of the run, which may include a fee added to top-ups and to third-party costs. We may hold an estimated amount before a run starts; the final charge may differ from the hold. Failed, stopped, or cancelled runs may still incur charges for work already performed. Prices may change at any time; changes apply to runs started after the change.
Disputes and chargebacks. If a payment is reversed or disputed, we may suspend your account and debit the disputed amount from your wallet, which may leave a negative balance you are responsible for.
4. Your content and repositories
You own your Customer Content, including programs you write, files you upload, repository contents you connect, and the outputs the Service generates for you. If we hold any rights in outputs generated for you, we assign them to you.
Sections 1.4 to 1.6 of the Standard Terms (usage data, our license to your content, de-identified data) apply. Do not submit Prohibited Data (Section 3.2 of the Standard Terms), such as passwords, private keys, or regulated health or financial data.
You are responsible for having the rights to everything you submit, including repository contents that belong to others.
5. Public sharing
Programs and results are private by default. If you publish a program or result or share a run link, anyone with the link can see it, and copies may persist after you unpublish. You can unpublish at any time from the Service.
6. Acceptable use
In addition to Section 2.1 (Restrictions on Customer) of the Standard Terms, you may not use the Service to generate or distribute malware, to attack or scrape systems without authorization, to circumvent credit limits or abuse promotional credits (including by creating multiple accounts), or in any way that violates the acceptable-use policies of the third-party providers we rely on.
We may review content, usage patterns, and account activity to investigate suspected abuse, fraud, or violations of these Terms, and we may suspend or terminate accounts under Section 2.2 (Suspension) and Section 5.3 (Termination) of the Standard Terms.
7. Open-source software
The OpenProse language, compiler, CLI, and related open-source projects are separate from the Service. They are licensed under the terms in their respective repositories, and nothing in these Terms changes those licenses.
8. AI services and third-party providers
The Service uses third-party large language models, search, browser automation, hosting, and payment providers. Your content is sent to those providers as needed to perform your runs. The Privacy Policy lists them. We may change providers at any time.
Outputs are generated by AI and may be wrong, incomplete, not unique, or infringe someone else's rights. They are not professional advice. Review outputs before relying on them; you are responsible for how you use them, including code the Service commits to your repositories, and for any decision in a regulated area such as credit, employment, housing, insurance, or medical care.
9. Termination and your data
You can stop using the Service at any time. To close your account or ask for a copy or deletion of your data, email support@openprose.ai from the email address on your GitHub account; the Privacy Policy describes timing and what we must keep. Unused credits are handled under Section 3.
10. Changes to these Terms
We may update these Terms. If a change materially reduces your rights, we will give at least 30 days' notice in the Service or by email before it takes effect, and you may close your account before then. Continued use after the effective date means you accept the updated Terms.
11. Where we offer the Service
The Service is offered to users in the United States. We price in US dollars and offer the Service in English. We do not direct the Service at users in the European Union, the United Kingdom, or other regions. If you use the Service from elsewhere, you do so on your own initiative and are responsible for local compliance.
